NAAIO UPDATE

The last year has been by far the most active for NAAIO since its founding. When MasterCard slashed interchange April 2010, NAAIO’s members and leadership realized they no longer could rely on “the other guy” to defend and protect their business from assaults by the big networks and government intrusion. Since that time, NAAIO has assumed a leadership role in the industry advocating for ISOs and ATM operators. Responding to the call, new membership has flourished and financial sponsorship is on its way to a whole new level.

In May, NAAIO re-engaged legal counsel, Brooks Harlow (now with the D.C. law firm, Lukas, Nace, Gutierrez & Sachs) to investigate the MasterCard action. At his recommendation, NAAIO engaged prominent antitrust economist, Dr. Nina Cornell, to review the networks’ behavior and rules—particularly the so-called “anti-discrimination” rule that fixes the prices of convenience fees. Then, based on Dr. Cornell’s findings, Harlow sent demand letters to several networks seeking elimination of the price fixing rule. The networks have been engaged and received the message loud and clear that NAAIO will pursue its rights under the antitrust laws if necessary.

In October, the U.S. Department of Justice (DOJ) filed a complaint against Visa and MasterCard’s merchant “anti-steering” and related rules. DOJ announced the same day that Visa and MasterCard had settled, agreeing to eliminate the rules, which are very similar in effect to the “antidiscrimination” rules that harm ATM operators. NAAIO immediately capitalized on the DOJ investigation. Harlow put together a detailed presentation to the DOJ’s Antitrust Section, which invited him to meet with them in Washington, D.C. in early November. Another group of trade representatives met with the DOJ over a month later, reflecting that NAAIO’s presentation got their interest. The DOJ investigation is currently ongoing.

In December, NAAIO turned to another threat to ISOs—the new DOJ guidelines for compliance with the Americans with Disabilities Act (ADA). NAAIO filed joint comments in response to the DOJ’s advance notice of proposed rulemaking together with the ATM Council of ASCP. Additionally, Harlow began to work with the DOJ on the question of whether existing non-bank ATMs will have to be retrofitted with audio and other features to serve the visually impaired. At stake is possible replacement of tens or hundreds of thousands of ATMs before the end of their useful lives—at a cost of hundreds of millions of dollars.

And in February, NAAIO prepared and filed comments with the Federal Reserve Board of Governors (Fed) on their proposed rules to implement the “Durbin Amendment” to the Dodd-Frank Act. This is likely the first time the Fed has had any significant direct regulatory involvement, so the comments provided extensive background on the non-bank ATM industry to help the Fed understand key differences from bank-operated ATMs. The main issue is whether the “dual bug” requirement in the Durbin amendment should apply to ATM transactions or just payments to merchants.

Much more work remains to be done on all fronts. But NAAIO has gotten the attention of Congress, the regulators, and the networks. With your help and financial support, NAAIO will make a difference—with a positive impact on your bottom line.
